Plenty of small, stable businesses run as proprietorships indefinitely without ever converting, and there's nothing inherently wrong with that. The decision to convert should be driven by whether the proprietorship's limits are actually costing you something, not by an assumption that every business must eventually become a company.
The liability limit doesn't change
A proprietorship has no legal separation between you and the business — business debts are personal debts. This risk exists on day one and stays exactly the same whether the business is one year old or twenty; it doesn't get safer with time or revenue.
The funding ceiling doesn't move
Outside equity investment essentially isn't available to a proprietorship — investors need shares to hold, and a proprietorship has no share structure to offer. If funding stays off the table, this limit never matters; the moment it's on the table, it matters immediately.
Large-client and marketplace friction
Some larger B2B clients and certain marketplace categories prefer or require dealing with a registered company rather than an individual proprietor, purely as their own vendor-onboarding policy. This is a real friction point that shows up gradually as you try to win bigger accounts, not something that's obvious from day one.
A worked example
A proprietorship-run trading business operated for eight years without issue, then lost a large enterprise contract specifically because the client's procurement policy required a registered company. The conversion itself would have taken under two weeks — the friction was never about the business's actual capability, only its structure.
